Terms of Service

These Terms of Service ("Terms") govern access to and use of Nexosk's websites, applications, review collection tools, AI drafting utilities, and reputation-management software (the "Service"), operated by Nexosk ("we", "us", or "our"). By creating a workspace, purchasing a subscription, or using the Service, you agree to be bound by these Terms.

1. Eligibility and Account Authority

You must be at least 18 years of age and authorized to bind the business entity or organization you register. You are responsible for maintaining the confidentiality of your authentication credentials, the accuracy of supplied business information, and all activities conducted by authorized workspace members (owners and managers).

2. Subscriptions, Pricing, and Billing

New Nexosk Reputation Manager plans are ₹1,500 for three months or ₹5,000 for twelve months. Plans are prepaid and renewed manually; they do not automatically charge again. Historical plans and any existing recurring authorization remain separate and are not silently changed by this rollout.

• Payment Processing: New software and NFC/QR card orders use a separate, one-time checkout processed by Cashfree Payments India Private Limited. A successful card purchase does not buy or renew software access, and a software payment does not order physical cards. Existing Razorpay recurring mandates, if any, continue to follow their original authorization until safely resolved.
• Taxes and Invoicing: The current sandbox checkout omits GST and its payment receipt is not a tax invoice. Tax treatment, live pricing and GST invoicing must be configured and reviewed before live sales; any legally applicable taxes will be disclosed at live checkout.
• Plan Limits and Entitlements: Each tier provides designated feature allowances (including active locations, manager invitations, team seats, review keywords, and monthly AI review drafts). Access to features beyond your tier cap requires upgrading to a higher plan.

3. 30-Day Free Trial Policy

New organizations are automatically provisioned with a 30-day Free Trial upon workspace creation.

• No credit card or upfront payment authorization is required to activate the trial.
• Trial accounts receive access to core evaluation limits to test QR review collection and AI drafting.
• Upon expiration of the 30-day trial period, access to AI review drafting and active customer campaign links is paused until a paid subscription is activated. Workspace data, branding, and historical feedback remain safely preserved.

4. Cancellation and Refund Policy

Workspace owners may cancel their subscription at any time directly through Dashboard Settings.

• Monthly Subscriptions: Monthly plans are non-refundable once charged. When you cancel a monthly subscription, future recurring charges are immediately terminated, and your workspace retains full plan access until the conclusion of the current paid billing cycle.
• Annual Subscriptions: Annual plans are eligible for a full refund within seven (7) calendar days of the initial annual purchase date, provided the account has experienced limited usage and no violation of these Terms. After seven days, annual plans are non-refundable.
• Accidental Charges and Billing Errors: In the event of duplicate charges, technical payment errors, or billing discrepancies, requests submitted to support@nexosk.in within seven (7) days of the transaction will be promptly investigated and refunded where verified.
• Data Preservation Post-Cancellation: If a subscription is canceled or suspended, workspace data is securely preserved for at least thirty (30) days to allow reactivation without data loss before eventual archival.

5. Customer Authorship and AI Review Drafting

Nexosk provides customer review writing assistance designed to help patrons articulate their authentic experiences.

• Customer as Sole Author: Nexosk does not write or publish reviews on behalf of customers. Any AI-suggested draft serves solely as optional drafting assistance. The customer remains the exclusive author of their review.
• Editorial Control: Customers are required to review, edit, and confirm that any drafted text accurately reflects their genuine experience before copying and publishing on Google Maps or other third-party review platforms.
• No Guarantee of Third-Party Actions: Nexosk does not guarantee that third-party platforms (including Google) will display, index, or retain customer reviews. Third-party platforms operate under their own independent terms and moderation policies.

6. Acceptable Use and Google Review Policy Compliance

Nexosk is committed to genuine consumer feedback and strict adherence to Google Maps User Contributed Content policies. You expressly agree not to:

• Engage in review gating (selectively filtering or intercepting negative reviews while soliciting only positive reviews on public platforms).
• Offer incentives, discounts, gifts, contests, or monetary compensation in exchange for customer reviews or ratings.
• Coerce, pressure, or script customer reviews or fabricate experiences.
• Impersonate individuals or misrepresent customer experiences.
• Upload defamatory, obscene, infringing, or unlawful content.
• Attempt to reverse-engineer, probe, or disrupt Nexosk infrastructure or bypass server-side entitlement limits.

Violation of these standards constitutes grounds for immediate suspension or termination of your workspace without refund.

7. Google Business Profile Integration

Connecting Google Business Profile is optional. When authorized via Google OAuth, you grant Nexosk permission to synchronize approved location data and review information. You may disconnect your Google account at any time. You remain solely responsible for your Google listing, replies, and compliance with Google's Terms of Service.

8. Intellectual Property and Content Rights

You retain all rights and ownership of your business brand assets, logos, and materials uploaded to Nexosk. You grant us a limited, worldwide license to host, display, and process your content strictly to operate the Service for your business.

9. Disclaimer of Warranties and Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable Indian law, Nexosk disclaims all warranties, express or implied. In no event shall Nexosk be liable for indirect, incidental, consequential, or punitive damages, loss of business revenue, or third-party algorithmic changes. Our total aggregate liability arising from any claim under these Terms shall not exceed the total fees paid by you to Nexosk in the three (3) months preceding the incident.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.

11. Contact and Updates

We may update these Terms periodically to reflect evolving legal, commercial, or feature requirements. Continued use of the Service following published updates constitutes acceptance of the modified Terms.
